Paul Matthews, Associate Director and Head of the Corporate and Commercial team, acted for the buyer in relation to the acquisition of the entire issued share capital of a limited company as well as the acquisition of an associated limited liability partnership.
The vehicle by which Paul progressed the deal for the client was through the buyer and associated company members of the LLP, with the seller retiring from the same.
The matter was of importance to the client as it formed part of a wider growth strategy.
What WHN Delivered
It was unusual and complex as a result of the fact that the business being acquired was being operated partly through a limited company and partly through an LLP. This meant that a significant amount of bespoke drafting was needed from Paul to ensure that the share sale and purchase agreement dovetailed appropriately with the documents required to assume control of the LLP and ensure that the buyer was not any worse off following the acquisition, a factor which had the potential to derail the deal.
