The Project
WHN Solicitors was instructed to help NARPO in relation to its incorporation as a company limited by guarantee.
What WHN Delivered
The project was led by WHN’s Paul Matthews, who had acted for the client previously in relation to a rules review.
The brief was to create a set of articles of association and a set of new rules for a company limited by guarantee and the bespoke drafts written by Paul had to be circulated to branches for review.
Paul also provided a Destination Table, which assisted in cross referencing the current rules with the draft articles and the draft rules.
Additionally, the National Executive Committee (NEC) held a series of five one-day national seminars on incorporation. These were led by Paul and other professional advisers, and attended by branch chairs, secretaries and conference delegates.
The nationally significant matter was then subject to a vote by elected delegates at a national conference, which took place in September 2023 and resulted in a vote to proceed.
Paul completed the incorporation of the association in January 2024 within the desired time frames of the client.

NARPO is a member organisation that represents over 93,000 retired police officers of all ranks and police widows and widowers from all forces across England and Wales. Formed in 1919, NARPO has headquarters in Wakefield. Governance is provided by a National Executive Committee (NEC), which is elected on a regional basis.
